Informal Negotiations: The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration.

Binding Arbitration: If informal negotiation fails, disputes will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). Arbitration will take place in Virginia, United States. Any dispute proceeding in court shall be commenced in the state and federal courts located in Virginia.
